Your right and your wrong. Yes Directors have a responsibility to all shareholders and that's why all companies purchase insurance covering Directors in case they are sued by shareholders.

However since our regulatory people are so useless it would likely mean shareholders would have to sue if Directors screwed us. That's expensive and unlike US Courts it's not a jury trial and punitive damages aren't likely to be awarded.
