Offer to purchase all outstanding shares of KWG in a deal worth about $40 million

1) 1 share of NOT for every 25 shares of KWG (based on about 800 million shares, would equate to about 32 million NOT shares)

2) cash of .026 per share of KWG (based on about 800 million shares, would equate to about $20.8 million

NOT gets to lock up all KWG interest in the ROF; takes over option agreement with respect to FNC property, which will require only another $2.8 million in exploration for 50%. They also get the patents on the natural gas technology and surface rights for rail.

KWG gets cash at close to current share price and potential for huge upside on their NOT shares.
