Just as free advice, having been down this road before, you would be wise to retain a Delaware corporate attorney, or a California attorney familiar with Delaware corporate law, to assist you in this effort. If not done both correctly and timely, you will end up with either an invalid effort, or a result that is "advisory only" (i.e., that is not binding on the Company) --- you may recall that such a thing occurred several years ago with one of Brian's shareholder proposals.

Getting shareholder support is one thing, and very laudable --- but making the effort absolutely binding on PTSC is quite another.
