Sorry, Max, that is incorrect.

KWG presently has 828,923,980 fully diluted shares outstanding. This will represent 50% or the new entity. An equal value will be distributed to the SPQ shareholders.

Since SPQ has 653,538,978 fully diluted shares outstanding, each SPQ share will be exchanged for 1.27 shares of the new entity.
