KWG Resources Inc. ("KWG" - TSXV:KWG) and Spider Resources Inc. (TSXV:SPQ) ("Spider" - TSXV:SPQ) are pleased to announce that they have entered into a binding letter agreement ("Letter Agreement") which sets out the principal terms upon which it is proposed that the two corporations will complete a business combination (the "Merger"), at the conclusion of which the shareholders of each corporation will hold 50% of the outstanding shares of the ongoing public corporation .

I just want to paste this information. There was lot of questions how many shares will have new KWG, actually the same number of shares that KWG now has, only that you will have(doesn't matter if you are currently in SPQ or KWG) 50% shares in new company because new company will be twice bigger. Very simple mathematic and fair. So if you have now 10000 shares in SPQ after merger you will have 5000 shares of new KWG. The only difference that SPQ must be on higher price at that time, that means that if sp will be the same at that time you will have a bit more shares than 50%.
