The BoD has the power to do most anything unless and until they are challenged, and in order to challenge, the shareholders must be willing to organize. There are always barriers to doing such things, but I'm all for trying. As I see things, it is best to prepare in advance and to hope that one's efforts then become unnecessary, than to do nothing and then find that such efforts had been necessary all along.
