From pg. 24 of the "Notes of annual general and special meeting" from SEDAR:
"If the special resolution is approved, the Consolidation would be implemented, only upon a determination by the Board that it is in the best interests of the Corporation at that time. In connection with any determination to
implement the Consolidation, the Board will set the timing for the Consolidation to become effective. No further action on the part of Shareholders would be required in order for the Board to implement the Consolidation.
If the Board does not implement the Consolidation prior to the next annual meeting of shareholders, the authority granted by the special resolution to implement the Consolidation on these terms would lapse and be of no further force or effect. The special resolution also authorizes the Board to elect not to proceed with, and
abandon, the Consolidation at any time if it determines, in its sole discretion, to do so."
