I got all excited and didn't expressly state my theory of the cause of action.

Paragraph 154(1) of the CBCA, edited so as to express the argument, reads: "If a... dissident’s proxy circular... omits to state a material fact... necessary to make a statement contained therein not misleading in the light of the circumstances in which it was made, an interested person or the Director may apply to a court and the court may make any order it thinks fit..."

The omitted material fact is that Noront completed a private placement to fully fund Windfall exploration prior to discoveries at McFauld's Lake, and the Ring of Fire.

To suggest that $15 million has been diverted from ROF exploration is false, and to claim the money was wasted is premature, as bulk sampling and chip sampling results are not yet available for consideration.
