For options out of the money they may use a black-scholes model but it certainly would make many holders unhappy regardless of what they received. However those in the money would receive the going premium, possibly weighted over a 26 or 52 week average. This company being sold for under $5 would be extremely surprising to me regardless. I could see it going to zero before being sold under $5
