Is this not more about having to play the legalese game?

I'm sure both SPQ and KWG knew this penny ante game was going to happen the moment they found CLF's knocking at their door and the BoD's are just playing our their roles in a smooth efficient manner designed to give them the time and space necesary to let this merger happen.

I don't get the impression that they are tripping over their own feet or each other's as this has played out. I think they have a game plan and they are sticking to it.
