Both SFMI and GHDC filed 12B-25 forms stating that their 10Ks would be late. Here are the reasons given (bolding added):
SFMI: "The Registrant has been unable to complete all aspects of its Form 10-K for the period ended December 31, 2011 on, or prior to, the prescribed due date because of additional time required by the Registrant to complete a pending financing. The Company expects to file its 10-K on or before time allotted under this notification."
GHDC: "The Registrant has been unable to complete all aspects of its Form 10-K for the period ended December 31, 2011 on, or prior to, the prescribed due date. Due to the additional time required by the Registrant to complete these activities, the Registrant is unable to file the Form 10-K at this time."
Notice SFMI gives a reason (pending financing), but GHDC simply says "to complete these activities" without specifying the activities. Maybe they had put in something about the financing, decided it wasn't quite right, removed it, and forgot to put something else back in? Anyway, it doesn't read very well. Seriously, it's one thing to put out a poorly written PR, but you'd think they would proofread their SEC fiolings better.
