Thanks for some clarification but the part that confused me is the WITHHOLD on the directors vote.

I don't know exactly how this works but if they have say (the numbers are wrong cause I didnt write them down). but say for sake of argument they have 75 Million vote for Directors and 110 Million withhold, and since the whithold accounts for nothing, why even vote?

I mean without having an option to vote against, whats the point?

They might as well dictate that they remain the board since there is no option against it?
