Quite easily, the BOD in many situations are there for dealing with problems, issues, and corporate governance only. The appointees are usually from a chosen market segment or profession to allot their expertise to the board.

I can unequivocally state that the board I report to, has little to no concept nor intimate knowledge of what we do. Like most boards, when I present quarterlies or year end, they just want the ROI to continue to grow every year.
