KWG Resources Inc.

Exploration stage company that is participating in the discovery, delineation and development of chromite deposits in the James Bay Lowlands of Northern Ontario. These deposits are globally significant source of chromite which may be refined into ferrochrome, a principal ingredient in the manufacture of stainless steel.

Agoracom folks,

I am compiling this list for the SH folks (don't know why I got myself into this), but post here this time for several reasons:

- the new SH messed the format and I havn't got the time trying to sort it out, so I tried my luck here to see if the format would not be "re-arranged" when I upload;

- for your information about the strength of the block of 52 shareholders (out of some 6000 retail shareholders) on SH side (including some of you on this side under SH handles); and

- To solicit your contributions. We are just a little short (170k shares out of some 42.6 M shares) to get to a nice round number of 5%. A 10% block by ourselves would be much better, but with management on our side (this is an assumption) the two blocks would amount to 13.4% which would be strong enough, as bargaining power, during a potential hostile TO from somebody (Note: CLF has 17.4%...subject to verification, anyone?)

SH folks, Here it is the latest info on KWG share count

(a) Total count: 52 posters (out of 6000+ small shareholders), 42.484 M shares or 4.98% fully diluted (853 M shares assumed)

- Block 1 + Block 2a (Management + BOD shares) = 4.98 + 2.1 =7.08%

- Block 1 + Block 2b (all Management & BOD options and wts exercised) = 4.98 + 8.4 = 13.38%

- CLF: 17.4% (could be 19.9% if options were exercised, apparently this has been done…perhaps KWG IR can confirm this, not by phone, but in writing… e-mail would do).

- KWG has bought back some share for cancellation, but this would not change the % in term of relative ranking.

(b) Note winnie4u2 (5M share block in the share count table below has given permission to replace anonymous1 with the SH handle. Anyone else want to unveil? Any more declarations to get the share count over the 5% level. We still an itsy-bitsy amount of approximately 170 k share to get it over 5%.

(c) Institutions: See note 5 at the end (links were provided by “fightiam” and “binvue1” from another SH board…thanks for those!). It would appear that the shares are widely held by some 6000 shareholders. If we have more participation (in addition to the die-hard 51 in the list) then perhaps it is possible to get 10% from the retail investors given that the last fling for the summer is over. Management contribution of 8.4% would be gravy on the top.
