None of the proposed directors of the Company are, or within the past ten years prior to the date hereof have been, a director or executive officer of any issuer that, while that person was acting in that capacity: (a) was subject to a cease trade or similar order or an order that denied the issuer access to any statutory exemptions for a period of more than 30 consecutive days
