A question was asked of someone who has knowledge of general rules regarding proxies.

Question:

Normally if you don’t vote your shares I think they are voted in favour of management, but during a proxy challenge I am not sure if that changes? Can you help clarify this. By the way I think the dissidents are using Computershare.

Answer:

No, not true. If you don’t return a proxy –regardless if it’s a dissident or management proxy-your shares aren’t voted. You’re thinking of a case where you return a signed proxy and don’t mark any voting preference. If so, you are instructing the company to vote as per the managements recommendations.

I believe this is what page 11 paragraph 2 refers to.

On the back of the management control sheet, it specifically states:

We cannot vote for you if we do not receive your voting instructions.
