Why? Because that's not how they filed it! I've worked with the SEC on a daily basis in a legal office - and I can tell you PTSC did not file under these sections "by accident" - they actually do know what they're doing when it comes to staying within SEC guidelines - because they're receiving guidance of course.

it seems that according to the filing convention used on the 8-K announcing the settlements, they in fact were NOT considered material agreements. Looking at the 8-K format, PTSC was filing under sections 8.01 & 9.01 which are:
