suppose it might depend on the leanings of the 3rd mutually agreed to member of PDS:

"We and TPL each own 50% of the membership interests of Phoenix Digital Solutions, LLC, and each have the right to appoint one member of the three (3) member management committee. The two (2) appointees are required to select a mutually acceptable third member of the management committee."

Consequently, every decision will either be unanimous; OR, one of the owners loses in the vote....
