PVLee...the major difference is that NEWCO holds all the cards ( IP's).That is being sold to whom?

The renamed "Zenith Capital Corp" will only hold 34.4M shares on NEWCO, in exchange, ( about a 1/3) not (3/3).

There is no cash outlay for the sale. That means no additional money in the banks of "Zenith Capital Corp", just shares of NEWCO. And Sarah already stated that this arrangement is not a pre-requisite for and IPO to follow from NEWCO.

What is the sense of doing any of this?
