TRINIDAD DRILLING LTD. REPORTS VOTING RESULTS OF THE ANNUAL GENERAL AND SPECIAL MEETING OF SHAREHOLDERS
In respect of the annual general and special meeting of shareholders of Trinidad Drilling Ltd. held on May 8, 2014, the company has set forth a brief description of the matters which were voted upon at such meeting and the outcome of the voting on each matter.
Outcome of vote
The fixing of the number of directors of Trinidad to be elected at the meeting at seven was approved.
The election of seven individuals to serve as directors of Trinidad until the date of the next annual meeting of shareholders or until their successors are duly elected or appointed.

The appointment of PricewaterhouseCoopers LLP, chartered accountants, as the auditor of Trinidad until the next annual meeting of shareholders or until a successor is appointed and the directors of Trinidad being authorized to fix its remuneration were approved.
The ordinary resolution to approve all unallocated incentive stock options under Trinidad's incentive option plan was approved.
For: 80.13 per cent
Against: 19.87 per cent
The ordinary resolution approving the incentive option plan, together with certain amendments thereto, as more particularly described in the information circular of Trinidad, dated March 27, 2014, was approved.
For: 83.61 per cent
Against: 16.39 per cent
The ordinary resolution reconfirming the shareholder rights plan of Trinidad, together with certain amendments thereto, and approving the execution of an amended and restated shareholder rights plan agreement, as more particularly described in the information circular, was approved.
For: 95.07 per cent
