If you don't sell in the open market, or tender your shares to Cliffs by the 16th, you'll still own them, but you'll be a minority shareholder. Cliffs will have voting control of the company, and you'll be along for a ride (i.e. they haven't declared their intentions yet, so what happens then is anybody's guess). If they obtain a high enough percentage ownership of the company, they can force you to sell your shares, but it is premature to think like that.
