They have 20% already locked up, but the 50.1% term in the offer is a condition that Cliffs can waive at their pleasure. It is entirely to their benefit, and they can take any tendered shares if it suits them. They don't even have to notify the shareholders who tendered before they decide to waive it, if that's what they decide to do.
