CCC will remain a wholly-owned subsidiary of the amalgamated corp. The Newco keeps all assets and liabilities of the merging entities, except that shares 'crossheld' between the entities shall be annulled.

Other thing (Hoov), I don't thing the merger will be processed through a Plan of arrangement, but rather a Merger Agreement under CBCA (sec. 182). I guess a consolidation will be dealt with in the Agreement. We may get more details soon.
