Purchase Price: $0.14 per flow-through share
$0.12 per non-flow-through share

Warrants: 2,700,000 share purchase warrants to purchase 2,700,000 shares

Warrant Exercise Price: $0.15 for a one year period
$0.30 in the second through fourth years

Number of Placees: 16 placees

Finders' Fees: $7,680 payable to Research Capital Corp.
$7,840 payable to Barrington Capital Corp.
$5,940 payable to Wolverton Securities Ltd.
$560 payable to Frank Durant.
