Something pointed out by a friend much smarter than me (which includes virtually all of my friends):

This deal is almost entirely a stock deal versus cash. The acquired company would not be interested in such a deal unless their expectations were much higher than the current share price. Impatient, uninformed and traders sold off on this, but I think smart money will begin to move in, and probably already is.
