The best I can make out of this is that the 44-101 is to distribute share to the public and the 45-106 is to distribute shares to companies, banks and investment firms.

Please don't ask me to read it again. that legal stuff gives me a headache.

That is just my take after reading it on the OSC site rules but please don't take it as the gospel.
