Reduction in the Exercise Price of Options Granted to Insiders

In the event the Corporation wishes to reduce the exercise price of any options held by Insiders of the Corporation at

the time of the proposed reduction, the approval of the disinterested Shareholders of the Corporation will be required

prior to the exercise of any such options at the reduced exercise price.
