by default (ie, even if the resolution is voted down at AGM), they can still refill to have up to 10% options to hand out as they see fit. TSXV (policy 4.4) allows more: they are asking for 20%.
post-R/S, that would be ~1.1MM shares, $millions worth of free candy in the jar.
myself, I'd want a serious explanation of why 10% isn't good enough.
... there hasn't been nearly the level of incentive or tied-to-performance (real, defined, measurable goals!) in the option award history for me to support the larger 20% pool worth of free candy anymore.
