A high growth, low cost mid-tier silver and gold producer in the Americas. Rob McEwen, Chairman & CEO, owns 25% of the outstanding shares. The Company's driving ambition is to qualify for the inclusion in the S&P 500 by 2015.

Shares of McEwen Mining will commence trading on the NYSE and the TSX, subject to final exchange approvals, under the symbol "MUX" on Friday January 27, 2012.

Holders of Minera Andes shares will receive 0.45 of an exchangeable share of McEwen Mining – Minera Andes Acquisition Corp. for each one (1) Minera Andes share held. These exchangeable shares of McEwen Mining - Minera Andes Acquisition Corp., will also start trading on the TSX on January 27, 2012 under the symbol "MAQ".

The exchangeable shares of McEwen Mining – Minera Andes Acquisition Corp. are convertible on a one-for-one basis at any time into shares of McEwen Mining.

McEwen Mining will have an aggregate of 267,084,203 shares of common stock outstanding and issuable upon the exchange of exchangeable shares.

The objective of McEwen Mining is to qualify for inclusion in the S&P 500 by 2015 by creating a high growth, low cost, mid-tier silver producer focused in the Americas. McEwen Mining's principal assets consist of the following:

Production: a 49% interest in Minera Santa Cruz SA, owner of the San José Silver-Gold Mine that is located near Goldcorp's Cerro Negro project in Argentina.

Development: The El Gallo Complex in Sinaloa, Mexico (first phase of production expected Q2 2012) and the Gold Bar Project in Nevada; as well as the Los Azules Copper Deposit in San Juan, Argentina.

Exploration: The Company has a large portfolio of exploration properties in Santa Cruz province Argentina, surrounding the San José Mine and Goldcorp's Cerro Negro project in addition to significant land packages in Nevada adjoining Barrick's Cortez mine and surrounding our El Gallo Complex in Mexico.

    James K. Duff , Chief Operating Officer

    Jim Duff is a professional geologist with over 35 years of mining experience in the U.S., Canada, South America, Australia and New Zealand. Most recently he worked at Coeur d'Alene Mines Corporation for 18 years as President of South American operations, where he was responsible for underground gold and silver mining operations in Chile and Argentina, and the development of the 8,000 tonnes-per-day San Bartolomé mine in Bolivia. Fluent in Spanish, Mr. Duff holds a bachelor's degree in geology from the University of Nevada, and a master's degree from the University of Idaho. In addition, he has completed graduate studies in international management at Whitworth College and the Harvard School of Business in their Program for Management Development.

    Perry Y. Ing , Chief Financial Officer

    Perry Ing holds a Bachelor of Commerce Degree from the University of Toronto and is a Chartered Accountant in Canada, Certified Public Accountant in the US and Chartered Financial Analyst. He brings extensive financial management and reporting experience in the mining sector having previously served as Corporate Controller for Goldcorp Inc., and as a consultant to Barrick Gold Corp. Mr. Ing also spent six years at the mining practice of PricewaterhouseCoopers LLP where his responsibilities included managing the audits of large international mining companies, as well as a variety of junior mining companies.

    Carlos E. Liggesmeyer , Country Manager - Finance & Administration (Argentina)

    Carlos Liggesmeyer is a certified public accountant and received his MBA degree from the University of Belgrano in Buenos Aires, Argentina. He has over 25 of years of experience in multinational companies in supervisory roles in the General Management, Administration and Controlling fields. Born in Argentina, but having worked internationally in the mining sector in countries including Argentina, Canada, Chile, Brazil and Germany he is fluent in German, Spanish and English.

    Nils F. Engelstad , Vice President, Corporate Affairs & Secretary

    Nils Engelstad became an officer of Minera Andes in 2009, prior to which he was in private practice with a national Canadian law firm. Mr. Engelstad holds degrees from the University of Toronto and the University of Windsor and is a member in good standing with the Law Society of Upper Canada.

    Andrew Elinesky , Controller

    Mr. Elinesky is a member of the Certified General Accountants of Ontario and is a fellow member of the Association of Chartered Certified Accountants in the United Kingdom. He has over ten years of experience in corporate finance for both public and private companies. Prior to being the Controller for Minera Andes, he was the Accounting Manager for US Gold Corporation.

    Allen V. Ambrose , Director

    Mr. Ambrose has nearly three decades of experience in the mining industry, including work with large companies as well as junior exploration companies. He has been a director of Minera Andes since November 1995. Mr. Ambrose has extensive experience in all phases of exploration, project evaluation and project management, and has worked as a geologic consultant in the U.S., Venezuela, and Argentina. As a consultant, he was a co-discoverer of a Venezuelan auriferous massive sulfide deposit acquired by Gold Reserve Corporation, and known generally as the Brisas deposit. He formerly was employed as exploration manager for N.A. Degerstrom Inc., a U.S. contract mining company, and has worked as a geologist for Cyprus Minerals, Kidd Creek Mines, Molycorp, Boise Cascade and Dennison Mines. He holds a B.Sc. degree in Geology from Eastern Washington University.

    Victor Lazarovici , Director

    Mr Lazarovici was managing director and senior base metals analyst for BMO Capital Markets in New York for ten years. He has more than 20 years experience as a highly ranked global metals and mining analyst, including five years at Smith Barney in New York, and prior broad experience in the corporate and investment management sectors. While at BMO and Smith Barney, Mr. Lazarovici consistently achieved top analyst rankings among U.S and Canadian institutional investors.

    Dr. Don Quick , Director

    Dr. Quick served as a Goldcorp director from 2000 to 2006, and previously was a director for CSA Management, which he helped successfully merge with Goldcorp in 2000. As a director of Goldcorp, he was involved with three successful mining industry mergers including Goldcorp's $2.6 billion merger with Wheaton River Gold; the combined Goldcorp/Barrick Gold Corp. acquisition of placer Dome Inc.; and the $8.6 billion acquisition of Glamis Gold Inc. by Goldcorp. The latter two transactions were the largest gold mining deals in Canadian history.

    Mr. Marter is a mining finance professional with more than 30 years of experience in the sector. He has extensive experience helping exploration companies and small to emerging mid-tier producing companies with their overall corporate strategies and financial planning. He served as a senior executive with Golden Star Resources Ltd., where he arranged more than $200 million in financings and has directed and assisted with the equity and debt financings of many other mining companies.

    Richard W. Brissenden , Director

    Mr. Brissenden is a chartered accountant with more than 25 years of experience in the mining and exploration sector. He serves as a director for several mining companies, including Canuc Resources Corporation, Excellon Resources Inc., Corona Gold Corporation, Lexam Explorations and Valdez Gold. He formerly served as a board member of Metco Resources and Hudbay Minerals Inc., among others.

    Michael l. Stein , Director

    Mr. Stein has been chairman and chief executive officer of the real estate investment and development company, MPI Group Inc since 1994. He has also held the position of chairman and chief executive officer of the real estate investment and development company, MICC Properties Inc. since 1987. He is currently the chairman of the Canadian Apartment Properties Real Estate Investment Trust (CAP REIT). A former member of the board of Goldcorp Inc., Mr. Stein is a graduate engineer and holds an MBA in Finance and International business from Columbia university in New York.
