New share structure

We have a billion shares out. If we create another share structure of 300 to 1 the company will be able to at any special meeting or agm create and sell from reserve more 300 structured shares because they will only be at 3 million structured shares. A far cry from a bilion they will then be able to create. Thus future dilution. AM I RIGHT. Any thoughts?
