Frank C. Smeenk
CEO & Managing DirectorFrank earned his B.A. and LL.B. degrees at the University of Western Ontario and was admitted to The Law Society of Upper Canada in 1976. He left the practice of law to join the resource industry in 1987 and has served as Executive Director of Deak Resources Corporation and as Chairman and CEO of both MacDonald Mines Exploration Limited and MacDonald Oil Exploration Limited, when they were both active in exploring their various concessions in the Republic of Cuba. He has been a director of numerous resource companies including Northfield Capital Corporation, Northfield Minerals Inc., NFX Gold Inc., Genoil Inc., Nuinsco Resources Limited, Perrex Gold Inc., Conquest Resources Limited and Armistice Resources Limited. He is currently the Managing Director of Fletcher Nickel Inc. In 1998 Frank was first elected a Director of KWG and became its Chief Executive Officer in 2004.

PresidentHe was formerly the Corporate Information Director for KWG Resources Inc. and prior to that was co-founder and General Manager of Varello Inc., a manufacturer and retailer of women’s footwear and accessories. He was previously the co-founder, Chairman and CEO of Virtual Broadcast Corporation, an internet applications service provider.

Thomas E. (Ted) Masters
Chief Financial OfficerTed graduated from the University of Toronto with an Honours B.A. in 1983. He became a Chartered Accountant in 1987 and is currently the managing partner of the accounting firm of Palmer Reed where he has been employed for the past 25 years. He has extensive experience with the auditing of public companies and is well versed in establishing and maintaining operational and financial policies and procedures. Ted was appointed as Chief Financial Officer of KWG Resources Inc. in September of 2009.

M.J. (Moe) Lavigne
Vice President Exploration & DevelopmentAs a native of Timmins, Moe’s career in the mining industry began during high-school. As a student from 1974 to 1982, he worked for mining companies in a wide range of duties from underground miner, to open pit geological technician. However most of his summers were spent in a tent, as an explorationist. He obtained a H.BSc. in Geology from Brock University in 1979 and a M.Sc. in Geology at McMaster University in 1983. In 1983, he joined the Ontario Geological Survey conducting research on gold deposits. In 1984 he became the Resident Geologist for the Red Lake District and transferred to Thunder Bay in 1988. Subsequent to becoming a mineral exploration consultant in 1997, he was engaged by North American Palladium Ltd. As their exploration manager, he was responsible for planning and executing the company’s property acquisition, surface exploration, and resource expansion program in the Lac des Iles area. This program has delineated over 10 million ounces of palladium at the Lac des Iles mine site. In May of 2001, Moe became North American Palladium’s Vice President of Exploration. In 2004 he joined Galantas Gold Corporation in Northern Ireland as Vice-President and Director and played a key role in bringing its gold mine to production. In 2007 he was appointed president of East West resource Corporation. Moe was appointed Vice-President of Exploration & Development for KWG Resources Inc. in August of 2009.

Rolland Russell Martel
SecretaryMr. Martel has completed the Canadian Securities Institute Director and Officer exam. Mr. Martel is a director and president of eVirginia Exchange Inc., and e-Exchange Enterprises Ltd., two small companies developing integrated exchange software for 24 hours a day direct investor-to-investor trading of fungibles. Mr. Martel has over 30 years of experience in the exploration and brokerage businesses. Mr. Martel has served as a governor and member of the listing committee of the Alberta Stock Exchange. Mr. Martel was president of Armistice Resources Ltd. between 1984-89 during the rebuilding and deepening of the Armistice shaft from 1250 feet to 2300 feet.

The Diagnos Initiative and Kyle Kimberlites are within and adjacent to the Ring of Fire. Other exploration initiatives also include the Wawa Project, Nakina Project and Canada Chrome Soil Sampling joint venture.

Cliffs Natural Resources Inc. acquired Spider in 2010 and subsequently renamed the company Cliffs Chromite Far North Inc. This document will continue to refer to Spider as all agreements are in this name.
