If Teck buys Copper Fox before the Liard shares are transferred to Copper Fox, there is no change of ownership of the Liard shares therefore there is no crystalized capital gain in Teck's hands and therefore no tax liability to Teck.

IMO Teck's CFO would totally be pleading "Whoa, whoa whoa, let's not enforce that transfer, we are going to buy you out, promise, and of course factoring in "an assumed earned Liard interest". Please do not force this transfer when we are just about to completely take you out in this more tax-efficient manner."
