The disident proxy states that mismanagement drove the SP down and new managemnet could fix it. Therefore doing a PP at this time is either an illegal act of self enrichment which should be stopped or Contary to their proxy, it is a statement by the BOD that between now and the time we really need more money, they do not expect any inprovement in the market or our share price.

WE should not even have to ask. It should be the fiduciary duty the regulatory authorities to have answers to these questions before giving approvals. It certainly should be required that the Board publicily justify actions of this significance to all shareholders whether or not a vote is required .

Contary to the wait and see attitude of some on this Form, I beleive that if the NOT Board does not immediately start to communicate openly with us we certainly are entitled to assume we are being screwed and should respond accordingly. ASAP
